We advised Tata Motors, a global automotive leader, on the envisaged €3.8 billion recommended voluntary tender offer for Iveco Group, a European leader in commercial vehicles and mobility. Completion of the offer is conditional on the separation of Iveco Group’s defence business. The offer would bring together two businesses with highly complementary product portfolios and capabilities and with substantially no overlap in their industrial and geographic footprints, creating a stronger, more diversified entity with a significant global presence. This transaction further reinforces Clifford Chance's position as a leading adviser on complex, high-value, and multijurisdictional matters, particularly within the Industrials, Transport & Mobility sector. It also stands out as a strategic milestone for Clifford Chance's India practice, underscoring its position as a trusted adviser on cross-border matters involving Indian clients and reinforcing its commitment to supporting India's global dealmaking ambitions. Our cross-border team was led by partners Jan-Hendrik Horsmeier, Stephanie Horowitz, Ernst van der Touw and Paolo Sersale, and our core team consists of Gareth Deiner, Stefano Parrocchetti Piantanida, Robin Traas, Ruben van Diepen, Bart van Hattum, Alessia Aiello, Lidwien Stegeman, Obilot Geuljans and Jasper Leistra (Corporate M&A). Our India leadership team of partners are Adrian Cartwright, Jamie McLaren, Jason Mendens, Nish Shetty, Nigel Wellings, Ranbir Hunjan, Shaun Langhorne and Sohini Kar-Purkayastha.
